USHIO to Form Capital and Business Alliance with ADTEC Engineering Co., Ltd.


Ushio Inc. today announced that USHIO has agreed with ADTEC Engineering Co., Ltd. to form a capital and business alliance.


Purpose of Alliance

Of exposure systems that are used for the manufacture of printed circuit boards for electronic components, USHIO has an advantage in projection exposure systems*1, while ADTEC Engineering’s strengths exist in contact exposure systems*2. Both companies aim to strengthen competitiveness in the market for exposure systems for printed circuit boards by leveraging their unique technologies and operation basis.


Details of Capital Alliance (New share issue with private placement)

It has been decided that ADTEC Engineering will issue new shares through a private placement and that USHIO will acquire the shares.

(1) Number of shares to be issued: Common stock 1,580,000 shares
With this private placement added to the common stock of 303,900 shares of ADTEC Engineering that USHIO already holds, USHIO will hold 1,883,900 shares (23.46%) of ADTEC Engineering.
(2) Share price: 282 yen per share
(3) Total investment: 445,560,000 yen
(4) Payment date: June 28, 2010

The two companies aim to create synergies in the development of new products and reduce costs through joint procurement to further expand their operations.
