Notice Concerning Transfer of Semiconductor Laser Device Business to Kyocera Corporation



Ushio Inc. (Head office: Tokyo; President and CEO: Takabumi Asahi; hereinafter, "Ushio") hereby announces that it has resolved to transfer its semiconductor laser device business (hereinafter, the "Target Business") to KYOCERA Corporation (Head office: Fushimi-ku, Kyoto-shi, Kyoto; President: Shiro Sakushima; hereinafter, "Kyocera"). The transfer (hereinafter, the "Transaction") will be carried out pursuant to a share transfer agreement concluded with Kyocera on April 14, 2026. The business transfer is scheduled for April 1, 2027.

■ Background and Objectives
The Transaction was considered as part of Ushio’s ongoing efforts to improve capital efficiency and optimize its business portfolio, in line with its new growth strategy, "Revive Vision 2030," formulated in 2024.




With over 40 years of expertise in optical technology, Ushio operates a business producing high-power, highly reliable semiconductor laser devices across a broad wavelength range, from blue-violet to infrared. It offers competitive products and technologies, particularly in the area of red lasers using GaAs (gallium arsenide) substrates. Meanwhile, Kyocera is engaged in the development of RGB laser diodes for road projection* in automotive applications and AR glasses in the metaverse sector. By combining the technologies and expertise of both companies, the Transaction should enhance the value we deliver to our customers.

* Automotive road projection refers to a technology that uses a vehicle-mounted light source to project information such as driving directions and warnings onto the road’s surface, improving visibility and safety for pedestrians and other vehicles.
